Welcome to Picxo AI. By accessing or using the Picxo AI mobile application, website, APIs, or related services (collectively, the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Acceptance of Terms

By using the Service, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part, you may not use the Service.

2. Description of the Service

Picxo AI provides tools to transform photos using artificial intelligence. You may upload images, provide text prompts or instructions, and receive edited or generated visual outputs. The Service may include experimental or beta features and integrations with third-party platforms for authentication, storage, payments, or processing.

3. Account and Email

You may use Picxo AI with or without creating an account, depending on product features. If you link an email or sign in, you must provide accurate information. If you opt in to marketing, you consent to receive marketing communications until you unsubscribe using the link in those messages. You are responsible for keeping your credentials secure and for activity under your account. Notify us promptly through support if you suspect unauthorized access.

4. Subscriptions, Billing, and Refunds

Core editing features may require an active subscription or purchase, as shown in the app or on the App Store. Unless stated otherwise, subscriptions renew automatically at the end of each billing period until you cancel through your Apple ID subscription settings or as described in the app. Purchases made through the Apple App Store are billed by Apple and subject to Apple's terms. Refund requests for App Store purchases must be directed to Apple in accordance with Apple's policies. We may offer trials or promotional access; terms of those offers apply when stated.

5. Your Content and AI Outputs

You retain your rights in photos, prompts, and other materials you submit ("Inputs"). By submitting Inputs, you grant us a worldwide, non-exclusive license to host, process, reproduce, and display Inputs solely to operate, improve, and provide the Service, including generating edited or AI-assisted outputs ("Outputs"). Outputs may be affected by model limitations and your instructions. To the extent permitted by law and these Terms, we assign to you any rights we may have in Outputs; you are solely responsible for ensuring your use of Outputs complies with applicable law and third-party rights. Inputs are not shared publicly with other users as part of the core product experience, subject to our Privacy Policy and operational needs (e.g. processing, safety, support).

6. Prohibited Content

You agree not to use the Service to create, upload, or distribute content that:

• Violates intellectual property, publicity, or privacy rights of others
• Depicts or sexualizes minors, or is otherwise exploitative or illegal
• Promotes violence, harassment, self-harm, hate, or illegal activity
• Impersonates others or misleads in ways that could cause harm
• Attempts to circumvent safety systems, rate limits, or usage restrictions

We may review content, remove material, or suspend or terminate accounts for violations of these Terms or applicable policies.

7. Third-Party Services

The Service uses third parties such as Supabase, Superwall, Vercel, analytics providers, and AI processing services (for example Google's AI services). Your use of those integrations may be subject to their terms. We are not responsible for third-party services beyond our reasonable control.

8. Age Requirement

You must be at least 13 years old, or the minimum age required in your jurisdiction, to use the Service. Where higher age limits apply (for example in some regions), you must meet those requirements. If you are under the applicable minimum age, do not use Picxo AI.

9. Rate Limits

We may implement rate limits or usage caps to protect service quality, prevent abuse, and manage infrastructure. Limits may change without notice.

10. Service Availability and Changes

We strive to keep the Service available but do not guarantee uninterrupted access. Maintenance, updates, outages, or changes to features may occur. We may modify or discontinue features; continued use after updates constitutes acceptance of changes that do not require separate consent under law.

11. Intellectual Property

Picxo AI, including its software, branding, documentation, and underlying technology (excluding your Inputs and Outputs as described above), is owned by us or our licensors. Except for rights expressly granted in these Terms, we reserve all rights. You may not reverse engineer, decompile, scrape, or attempt to extract models or proprietary systems except where applicable law prohibits this restriction.

12. Acceptable Use

You agree to use the Service only for lawful purposes, comply with applicable laws and export controls, not interfere with or disrupt the Service or other users, and not misrepresent Outputs as human-created where disclosure is required by law or platform rules.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR OUTPUTS WILL BE ACCURATE, RELIABLE, SECURE, ERROR-FREE, OR UNINTERRUPTED. AI OUTPUTS MAY CONTAIN ERRORS OR UNDESIRED RESULTS; YOU USE THEM AT YOUR OWN RISK.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, DIRECTORS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THAT PERIOD OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW.

15. Indemnification

You agree to indemnify, defend, and hold harmless Picxo AI and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your Inputs, Outputs, use of the Service, or breach of these Terms, except to the extent caused by our gross negligence or willful misconduct.

16. Suspension and Termination

We may suspend or terminate your access if we reasonably believe you violated these Terms, applicable law, or our policies. You may stop using the Service at any time. Upon termination, your right to use the Service ends; provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, and indemnity) will survive.

17. Governing Law and Disputes

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country or state require otherwise. You agree that courts in Delaware (or another forum we designate in writing for consumers) have exclusive jurisdiction for disputes, where permitted by law. If any provision is unenforceable, the remainder remains in effect.

18. Changes to These Terms

We may update these Terms to reflect changes in the Service, law, or our practices. We will post the updated Terms and revise the "Last updated" date. For material changes, we may provide additional notice (for example in-app or by email). Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service.
